Key legal documents in the acquisition process
An acquisition is a document heavy process. The key documents are: the LOI (Letter of Intent) or Term Sheet, a non-binding document defining the key terms of the transaction, an NDA, a confidentiality agreement for exchanging due diligence materials, the SPA (Share Purchase Agreement), the purchase agreement for the shares with warranties and indemnities, the SHA (Shareholders Agreement), an agreement between shareholders if the seller remains in the company, and the Closing Conditions Certificate. I have experience structuring the whole process from the LOI to closing and post closing integration.
