What legal due diligence reveals and why it is essential

Legal due diligence identifies three categories of risk: RED (deal breakers: a liability, dispute or regulatory problem that blocks the transaction), AMBER (risks that require an adjustment to the purchase price or a warranty), and GREEN (clean areas). Without due diligence, you are buying a company with unknown liabilities. From my experience with M&A transactions, the most common surprises are: uncollectible debtor receivables, invalid key contracts, non-compliance with the Czech Labour Code for employees, GDPR failures and unsettled disputes.
