NDA vs. statutory protection of trade secrets: which is stronger?
The Czech Civil Code (Act No. 89/2012 Coll.) protects trade secrets even without a contract, but this protection is general and hard to enforce in practice. An NDA (Non-Disclosure Agreement) contractually defines the specific information that is protected, sets meaningful penalties for breach and clarifies jurisdiction. An effective NDA must precisely define the term confidential information (a definition that is too broad is unenforceable), set a reasonable duration for the confidentiality obligation, and realistic contractual penalties. Whether an NDA is one-way or mutual depends on the context of the cooperation.
